Welcome to KEBADA. The terms "we," "us," and "our" refer to KEBADA. KEBADA operates this website and related services, including product information, business accounts, business pricing, quote requests, purchasing tools, orders, sample packs, and customer support (collectively, the "Services").

The Services are powered by Shopify, which provides the ecommerce platform that enables us to offer the Services to you.

These Terms of Service ("Terms"), together with any policies referenced herein, govern your access to and use of the Services and your purchases from KEBADA.

Please read these Terms carefully. By accessing or using the Services, creating an account, submitting a quote request, or placing an order, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you should not use the Services.

1. Access and Business Accounts

You must be at least the age of majority in your jurisdiction to use the Services or place an order.

You may be asked to provide information including your name, company name, business email address, billing and shipping information, payment information, industry, purchasing requirements, or other information necessary to create or manage an account, provide business pricing, prepare a quote, or fulfill an order.

You represent and warrant that all information you provide is accurate, current, and complete and that you are authorized to provide such information.

If you create or use a business account on behalf of a company or other organization, you represent that you are authorized to act on behalf of that organization.

You are responsible for maintaining the confidentiality and security of your account credentials and for activity conducted through your account.

Business account eligibility, company access, business pricing, catalogs, purchasing permissions, and other account features may be approved, modified, suspended, or discontinued by KEBADA at our discretion.

2. Products and Product Information

We make reasonable efforts to provide accurate product descriptions, specifications, images, certifications, packaging information, case quantities, availability, and other product information.

Product colors and appearance may vary slightly depending on your device, display settings, manufacturing tolerances, or production batches.

Product specifications, packaging, availability, certifications, and designs may be updated from time to time. We reserve the right to modify or discontinue products or variants without prior notice.

Customers are responsible for reviewing applicable product specifications, sizes, protection levels, materials, case quantities, intended applications, and other relevant information before purchasing.

Product information provided through the Services is not a substitute for an employer's workplace hazard assessment, safety program, or compliance obligations. Customers are responsible for determining whether a product is appropriate for a particular workplace, task, hazard, or regulatory requirement.

3. Orders

When you place an order through the Services, you are making an offer to purchase. KEBADA reserves the right to accept, decline, limit, or cancel an order where reasonably necessary.

An order is not final until it has been accepted and processed by KEBADA. We may contact you if additional information, verification, or payment is required.

Please review your product, color, size, case pack, sample pack, quantity, shipping information, and other order details carefully before submitting an order.

After an order has entered processing or fulfillment, we may be unable to modify or cancel it.

If we decline, change, or cancel an order, we will make reasonable efforts to contact you using the email address, phone number, or other contact information provided with the order.

Returns, claims, refunds, and replacements are governed by our Business Order Return Policy.

4. Business Pricing and Quotes

Certain prices, catalogs, discounts, purchasing options, or other commercial terms may be available only to approved business customers.

Business pricing may vary by customer account, company location, product, order quantity, market, or other commercial criteria.

Prices displayed to an authenticated business customer are the prices applicable to that customer's current account and purchasing context unless otherwise stated.

Quote requests do not create a binding obligation to purchase or supply products. A quote becomes binding only when accepted in accordance with the terms stated in that quote, invoice, purchase order acknowledgment, or other written agreement.

For large-volume, recurring, customized, or specially arranged orders, additional terms may be stated in a quotation, invoice, purchase order acknowledgment, or written agreement. If those terms conflict with these Terms, the specific written commercial terms will control for that order.

5. Sample Packs

Sample packs are offered to help customers evaluate product fit, construction, comfort, and performance before placing larger orders.

Sample pack pricing, contents, quantities, colors, sizes, and availability may vary by product and variant.

Sample packs are subject to the same product use and safety responsibilities described in these Terms.

Sample pack returns and claims are governed by our Business Order Return Policy.

6. Prices, Payment, and Taxes

Prices, discounts, business pricing, and promotions are subject to change without notice unless otherwise confirmed in an accepted order or written quote.

The price charged for an online order will be the applicable price displayed or calculated at the time the order is submitted, subject to order acceptance.

Unless otherwise stated, prices do not include applicable taxes, customs duties, import charges, special handling charges, or other governmental fees.

Applicable sales tax may be calculated at checkout based on the order, customer information, and shipping destination.

You agree to provide current, complete, and accurate billing, payment, and account information.

You represent that you are authorized to use any payment method provided and that all charges incurred in connection with your order will be honored.

7. Shipping and Delivery

Shipping availability, costs, fulfillment locations, and estimated delivery times depend on the selected product, variant, inventory location, order quantity, and destination.

Delivery dates and transit times are estimates and are not guaranteed. Delays may occur due to carriers, weather, customs, inventory transfers, address issues, or other events outside our reasonable control.

Orders may be shipped in multiple packages or from multiple fulfillment locations.

Except as expressly permitted by law or by KEBADA in writing, you may not reproduce, distribute, modify, republish, publicly display, commercially exploit, scrape, or create derivative works from material contained in the Services.

Nothing in these Terms grants you ownership of or a license to any KEBADA, Shopify, or third-party trademark, copyright, patent, or other intellectual property, except as expressly stated.

9. Optional Tools and Third-Party Services

The Services may provide access to tools, functionality, payment services, fulfillment services, shipping services, integrations, or other services provided by third parties.

Third-party services may be subject to separate terms and privacy policies. To the extent permitted by law, KEBADA is not responsible for third-party services that we do not own or control.

The Services may contain links to websites or platforms operated by third parties. We do not control and are not responsible for the content, security, availability, accuracy, or practices of those third-party websites.

Your use of third-party websites or services is at your own discretion and may be subject to their own terms and policies.

11. Relationship with Shopify

KEBADA is powered by Shopify, which provides the ecommerce platform used to operate the Services.

However, purchases made through our store are transactions directly between you and KEBADA. Shopify is not the seller of KEBADA products and is not responsible for product performance, fulfillment, customer service, claims, or other matters arising from transactions between you and KEBADA, except to the extent Shopify separately provides services directly to you.

12. Privacy

Personal information collected through the Services is handled in accordance with our Privacy Policy.

Because our Services are hosted by Shopify, Shopify also collects and processes certain personal information relating to your access to and use of the Services.

13. Feedback

If you submit reviews, suggestions, ideas, comments, photographs, product feedback, or other materials to KEBADA ("Feedback"), you represent that you have the right to provide such Feedback.

To the extent permitted by law, you grant KEBADA a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, publish, distribute, and display Feedback for legitimate business purposes, including improving and promoting our products and Services.

Feedback must not violate applicable law, intellectual property rights, privacy rights, or other rights of third parties and must not contain malicious software, fraudulent statements, or unlawful material.

We may suspend or terminate your account or access to the Services where reasonably necessary, including for violations of these Terms, fraudulent activity, misuse of the Services, security concerns, or legal or regulatory reasons.

Termination does not affect payment obligations or other rights and obligations that arose before termination.

Provisions that by their nature should survive termination, including intellectual property, payment obligations, limitations of liability, indemnification, governing law, and privacy-related provisions, will continue to apply.

18. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.

Except for warranties or obligations expressly provided by KEBADA in writing or required by applicable law, we disclaim implied warranties, including merchantability, fitness for a particular purpose, title, durability, and non-infringement.

We do not guarantee that the Services will always be uninterrupted, error-free, completely secure, or available at all times.

Nothing in these Terms excludes any warranty, right, or remedy that cannot lawfully be excluded.

19. Limitation of Liability

To the fullest extent permitted by applicable law, KEBADA and its affiliates, directors, officers, employees, agents, contractors, licensors, and service providers will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, including lost profits, lost revenue, lost data, or business interruption, arising from or related to the Services or products purchased through the Services.

These limitations apply regardless of the legal theory asserted, except where liability cannot lawfully be limited or excluded.

20. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless KEBADA and its affiliates, officers, directors, employees, agents, contractors, licensors, and service providers from third-party claims, liabilities, damages, losses, and reasonable costs arising from:

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

KEBADA may assign or transfer its rights and obligations in connection with a merger, restructuring, sale of assets, corporate reorganization, or similar business transaction, subject to applicable law.

These Terms and any dispute arising from or relating to the Services will be governed by the laws applicable in the jurisdiction where KEBADA is headquartered, without regard to conflict-of-law principles, except where applicable law requires otherwise.
